Peoples Educational Holdings, Inc. Announces Pricing of Public Offering

Friday May 27, 4:28 pm ET SADDLE BROOK, N.J., May 27 /PRNewswire-FirstCall/ -- Peoples Educational Holdings, Inc. (OTC Bulletin Board: PEDH.OB - News) announced that its registration statement for the sale of 500,000 shares of Common Stock was declared effective today by the Securities and Exchange Commission. The Common Stock was priced at $6.30 per share. All of the shares are being sold by the Company. The Company has granted the underwriter, Feltl and Company, an option to purchase up to an additional 75,000 shares to cover over-allotments, if any. The Company's common stock is currently quoted on the OTC Bulletin Board under the symbol "PEDH.OB," and will be quoted on the Nasdaq SmallCap Market under the symbol "PEDH" commencing June 1, 2005.

The offering is being underwritten by Feltl and Company. The Company intends to use the net proceeds to fund development of proprietary products, marketing and general corporate purposes.

A registration statement relating to these securities was declared effective by the Securities and Exchange Commission on May, 27, 2005.
